Terms & Conditions Functional Mushrooms EU

1. General
These Terms and Conditions apply to all offers, sales, and deliveries of products and services by Functional Mushrooms B.V. (KvK: 81896395, VAT: NL862261168B01), registered in the Netherlands, unless otherwise agreed in writing.

2. Orders and Acceptance
All orders are subject to written confirmation. Quotations are non-binding and valid for 30 days unless stated otherwise. A binding agreement is formed upon written acceptance by Functional Mushrooms B.V.

3. Prices and Payment
All prices are exclusive of VAT, duties, shipping, and any other applicable charges unless otherwise specified. Payment terms are 100% upfront, unless otherwise agreed in writing. Late payments are subject to statutory interest under Dutch law.

4. Delivery and Lead Times
Delivery times are estimates only and not binding. Delays do not entitle the buyer to compensation or cancellation. Risk transfers to the buyer upon delivery to the carrier.

5. Product Specifications
Product specifications, ingredient lists, and documentation are provided to the best of our knowledge and are subject to change without notice. Final product compliance with national regulations is the buyer’s responsibility unless otherwise agreed.

6. Warranty and Claims
We warrant that products meet agreed specifications upon delivery. Claims for defects must be made in writing within five business days of receipt. Our liability is limited to replacement or credit of the defective goods.

7. Intellectual Property
All intellectual property rights, including formulations, packaging designs, and branding, shall remain the property of Functional Mushrooms B.V. until full payment is received. Upon full and final payment, ownership of product-specific IP developed for the client will transfer to the client, unless otherwise agreed in writing.

8. Confidentiality
All technical, commercial, and proprietary information exchanged shall be treated as confidential and may not be disclosed to third parties without prior written consent.

9. Governing Law and Jurisdiction
The laws of the Netherlands govern these Terms and Conditions. Any disputes shall be submitted to the exclusive jurisdiction of the competent courts of Amsterdam, the Netherlands.

10. Force Majeure
We are not liable for any failure or delay in performance resulting from events beyond our reasonable control, including natural disasters, government actions, supply chain disruptions, or labour disputes.

11. Amendments
We reserve the right to amend these Terms and Conditions. Updates will be communicated in writing or published on our website and will take effect upon notice.
